New Dawn City
- New Dawn City is the physical manifestation of the Great African Grid Initiative. It is a compact, high-density, futuristic smart economic zone designed to be the richest and most productive city in Africa — the Shenzhen of Africa.
- It is not a pilot. It is the first complete version of the future economy. A self-reinforcing, high-density, high-efficiency system where manufacturing, production, STEM education, innovation, logistics, finance, and consumption exist in one continuous loop — designed to generate, retain, and multiply value at unmatched speed.
The objective is not demonstration. The objective is dominance. To become the richest, most productive, and most advanced city in Africa, and the benchmark for every replication that follows across African capital cities.
SECTION 2: LOCATION & LAYOUT ( Country of Choice Rwanda)
2.1 Location Bugesera District
| Parameter | Value |
| Target Area | 300 km² |
| Terrain | Flat savanna plains |
| Northern Border | International airport (fenced, outside city limits) |
| Eastern Border | Existing Dry port / logistics hub (outside city limits) connecting to TZ |
| Southern Border | Lake Rweru |
SECTION 3: THE MASTER GOVERNMENT-FOUNDATION LEASE AGREEMENT
- The Foundation and the host government shall enter into several agreements and treaties for the city and headquarter agreement. A Master SPV agreement structured as a dual-layer lease shall be adopted. The Master SPV holds the 99-year lease for the entire New Dawn City territory. This lease is subject to an auto-reset mechanism that triggers every 10 years based on the city's Key Performance Indicator (KPI) growth. If the agreed KPIs — including GDP growth, jobs created, infrastructure completion, population growth, and investment attracted, as decided - are met, the lease automatically auto-resets back to 99 years. This ensures that as long as the city continues to grow and deliver value, the investors can feel safe that their leases will remain fixed as agreed. If KPIs are missed, the government and Foundation enter a review period to identify issues and remedies. Any arising issues shall be settled through binding international arbitration.
The Foundation then sub-leases specific zones to private developers and investors. These sub-leases are fixed at between 50-99 years with no auto-reset mechanism. Investors benefit from a locked, stable term that is not affected by the KPI review cycles of the Master SPV. This provides the long-term certainty investors require to commit capital and build commercial, residential, and industrial assets.
This structure aligns the interests of all parties. The government gains a performance-based mechanism to ensure the city delivers value. The Foundation gains perpetual security as long as the city grows. Investors gain stable, long-term sub-leases protected from political and regulatory risk. The city itself benefits from a self-reinforcing feedback loop where growth and development are incentivized at every level.
SECTION 4: THE OFFSHORE FINANCIAL CENTER (OFC)
4.1 Overview
A private Offshore Financial Center (OFC) shall be established within New Dawn City. This OFC acts as a "walled garden" for international finance. It is physically located in the host country but financially connected directly to the Mauritius foundation and Singapore tech vault.
4.2 Legal Architecture
Mauritius as the Parent: The Jowih Foundation through Jowih Holdings holds the shares of the Master SPV. Mauritius has a robust Double Taxation Treaty (DTT) and an Investment Promotion and Protection Agreement (IPPA) with Rwanda. This shields capital from dual taxation and provides international legal protection against expropriation.
Singapore as the IP Vault: The Singapore entity holds the patents, trademarks, smart-city software, and proprietary urban tech. The Rwandan OFC pays royalties to Singapore for this IP. Because Singapore has a comprehensive tax treaty with Rwanda, withholding taxes on these IP royalty payments are minimal.
4.4 The Private Courts
Global institutions will invest billions only if they know a dispute will be resolved exactly as it would be in London, Singapore, or Dubai. The OFC operates under a concept known as judicial extraterritoriality.
Governing Law: The courts do not use domestic civil law for commercial matters. They use English Common Law or a modified version of Singapore Commercial Law.
The Bench: The courts directly hire retired international judges from world-class jurisdictions (UK, Singapore, Australia) to sit on the supreme and appellate benches.
Language & System: All proceedings, filings, and arguments are conducted strictly in English. The entire docket system is digital, allowing international law firms to file motions and attend hearings remotely.
Finality of Rulings: The Host Government Agreement (HGA) states that the host nation's Supreme Court has zero jurisdiction to overturn or review decisions made by the city's appellate court. The city court is the absolute final authority inside the zone.
4.5 Three Core Pillars of the OFC
- Independent Common Law Jurisdiction: A private, independent court system operating on English Common Law (or Singaporean commercial law), completely separate from domestic civil law systems. Retired British or Singaporean judges sit on the bench.
- Total Capital Freedom & Tax Neutrality: The OFC is legally designated as an "offshore zone" by the host nation's central bank and president. Zero exchange controls. 100% foreign ownership of financial firms. 100% free repatriation of profits. Guaranteed 0% corporate and dividend tax rate for financial institutions registered inside the zone.
- Unified Regulatory Authority: The Master SPV acts as the sole regulator (similar to Singapore's MAS or Dubai's DFSA) inside the zone. It issues its own banking, insurance, and fund management licenses. A fund can set up and get licensed inside the city within days.
4.6 Global Enforcement
To make these courts ruling truly powerful, the host nation through HGA must ensure that judgments passed by the city court are enforceable globally.
The New York Convention: The HGA leverages the host nation's status as a signatory to the Convention on the Recognition and Enforcement of Foreign Arbitral Awards (The New York Convention).
Asset Seizure: If the city court rules against a fraudulent foreign developer, the judgment can be taken directly to courts in 160+ countries (including the US, UK, and China) to freeze and seize that developer's global assets.
SECTION 5: JOWIH CREDITS
Legal and Regulatory Implementation
Jowih Credits are established as a stable, asset-backed digital utility bridge token. They are not a speculative cryptocurrency. They do not involve mining, staking, interest, yield, or dividends. Their sole purpose is to serve as a neutral, efficient bridge between African local currencies and foreign currencies, enabling faster, cheaper, and more stable cross-border payments, remittances, global trade settlement, and investment inflows into Africa.
The "Closed-Loop Utility" Exemption: Jowih Credits are legally defined not as a national currency or a cryptocurrency, but as a closed-loop,asset backed digital utility token or trade credit. Because it is non-speculative it avoids standard banking capital-gain laws.
The Clearing Gateway: The OFC acts as the master clearinghouse. When international investors want to move capital from neighboring countries into the city, they convert their local currencies into Jowih Credits via the OFC
Zero-Interest Compliance: Because the token pays no interest, it seamlessly complies with both standard international offshore regulations and Islamic Finance principles (Sharia-compliant risk-sharing networks). This opens the project to massive sovereign wealth funds in the Middle East looking for asset-backed, zero-riba infrastructure investments.
SECTION 6: INTELLECTUAL PROPERTY FRAMEWORK
6.1 The IP Flow from Singapore to the City
- Since core Intellectual Property is locked down in Singapore — which has some of the strongest IP protection laws on earth - new patents or trademarks do not need to be registered from scratch. Instead, the IP framework inside the city acts as an IP Licensing and Protection Enclave.
6.2 The Master License Agreement
The Singapore entity signs a master commercial license with the Master SPV or the OFC. This contract grants the city the right to use, deploy, and sub-license proprietary smart-city tech, AI networks, and industrial systems.
The Royalty Flow: When private investors or manufacturers inside the city use the tech, they pay licensing fees or royalties. These fees are collected inside the OFC tax-free and sent directly back to the Singapore bank accounts.
Preventing Double Taxation: Because Singapore and the host country have an active Double Taxation Agreement (DTA), withholding taxes on these cross-border tech royalty payments are heavily reduced or entirely eliminated.
6.3 Protecting Investor IP Inside the City
To attract international corporations, a specialized City IP Registry and Fast-Track Court is established inside the OFC.
- The Mirror Registry (Instant Protection): An internal, digital IP registry managed by the Singapore tech entity. If a foreign investor has a patent registered in Singapore, the US, or Europe, the OFC automatically recognizes and registers that patent within 24 hours under a "Reciprocal Recognition" rule.
- Ironclad Nondisclosure & Trade Secret Laws: Strict English Common Law trade secret protections are written directly into the city's regulatory charter. Penalties for theft of corporate source code, industrial blueprints, or manufacturing data are catastrophic.
- The Rocket-Docket IP Court: An Injunctive Relief System is established. If a company's patent or copyright is violated inside the zone, the international judges can issue a legally binding cease-and-desist order within 48 hours, freezing the rogue operator's digital wallets and shutting down their factory floor immediately.
6.4 Leveraging International Treaties
The HGA ensures that the city operates under the host nation's existing signatures to global intellectual property treaties, including WIPO frameworks, the Paris Convention, and the Madrid Protocol. This gives the city a dual shield: speed and ironclad execution of private, Singapore-managed city courts internally, backed by the global legitimacy of international IP law externally.

- TND~ City Administrator appointed by the Steward President
- Residents Council provides advisory feedback
- Full Political Neutrality applies
Why New Dawn City is the Shenzhen of Africa:
- Just as Shenzhen was the pilot for China's economic transformation — a small fishing village turned into a global technology and manufacturing hub - TND~ City is the pilot for Africa's transformation. It is where the model is proven, the systems are tested, and the future is built before best ideas replicated across the continent.
