JOWIH FOUNDATION - DRAFT CONSTITUTION
JOWIH FOUNDATION - DRAFT CONSTITUTION
Preamble
- We, the Founder and the undersigned, in recognition of the inherent dignity, equality, and developmental rights of all persons within the African continent and diaspora; acknowledging the persistent structural barriers that impede social mobility, technological capability, and sustainable economic advancement; and affirming the necessity of institutions that endure beyond individual leadership or political cycles-hereby establish the Jowih Foundation as a permanent, mission-driven development organization to Accelerate development across the continent through THE GREAT AFRICAN GRID initiative. The Great African Grid is not a political union. It is not a supranational authority. It does not replace or subordinate any national government, central bank, or legal system. It is an infrastructure and economic coordination framework — designed to enable sovereign nations to cooperate more efficiently, trade more freely, and develop more rapidly, without surrendering control over their own affairs.
Africa’s opportunity lies in harnessing collective vision and executing at scale. To complement and enhance existing efforts, the Jowih Foundation focuses on Accelerating National and Continental progress in areas where technology, sustained capital, and long-term collaboration can amplify impact. We empower governments, citizens, talent, partnerships, and mission-locked resources to design, fund, and operate transformative social and technological interventions that strengthen human capital development, accelerate digital and industrial competitiveness, and ensure that the African continent is an active and sovereign participant in the global innovation economy. Its mandate encompasses humanitarian upliftment, youth empowerment, strategic research investment, and the advancement of Africa-centered technologies and infrastructure.
The Foundation serves as a Development Accelerator through its initiative called The Great African Grid(THE GAG) in most areas where African governments are stracturally or financially limited . Vision Horizon 2045 is not the end. It is the first milestone.
It operates in full compliance with sovereign laws, in cooperative partnership with governments, and in alignment with National priorities where invited. We uphold independent governance, an immutable mission-lock, and rigorous protections for user and beneficiary data to ensure trust and sustainability.
The Foundation’s primary funding engine is the reinvestment of commercial returns: eighty percent (90%) of net profits from the Jowih Holding Company shall be devoted to the Mission Fund and reinvested in continental development. Voluntary small contributions, and concessional support are complementary and shall not replace the primary reinvestment model.
As the Foundation advances implementation across its four strategic pillars-(i) Empower Communities & Basic Needs; (ii) Digital Opportunity & Youth Advancement; (iii) African Research & Innovation Leadership; and (iv) The Future Civilization (the Cyberpunk Africa vision)-and as citizen-owned capital and commercial reinvestment expand economic activity and create shared value, participating governments and communities will be better positioned to pursue mutual priorities. This collaborative dynamic is central to achieving the first milestone of The GAG’s 20-Year Pan-African Transformation Strategy The 2045 Horizon and to realizing a prosperous, technologically-advanced Futuristic Africa owned by its people.
This Constitution is adopted as the supreme governing instrument of the Foundation, safeguarding mission integrity, fiduciary accountability, operational independence, and continuity of purpose. All Foundation activities, including affiliated Operating Companies, shall be executed in alignment with this Constitution, applicable laws, and principles of good governance, transparency, and ethical stewardship.
The Foundation is established as a Company Limited by Guarantee under the laws of Mauritius (or any successor jurisdiction as approved) and shall operate in compliance with applicable law in jurisdictions where it works. We commit to transparency, auditable stewardship of funds, strict anti-diversion controls, child protection, and the highest standards of data privacy and security. The Foundation shall abide by all applicable laws and shall strictly oppose any illegal measures directed against it, its assets, or its personnel.
Through this Constitution, the Founder and signatories commit to the long-term transformation of African societies by fostering resilient communities, locally owned innovation, and equitable access to the opportunities of the twenty-first and twenty-second century economy: citizen-owned assets, accountable governance, and sustained execution to enable an empowered, connected, and prosperous Africa.
